产品和服务，您也可以选择停止使用。若您同意协议，或使用赢讯

赢讯数智有权依本服务或运营的需要单方决定、安排或指定其关联方、控制公司、继承公司或赢讯数智认可的第三方继续运营本服务。并且，就本协议项下涉及的某些服务，可能会由赢讯数智的关联方、控制公司、继承公司或赢讯数智认可的第三方向您提供。赢讯

经营者还有可能因为提供新的赢讯

服务而新增，如您使用新增的赢讯
AI
服务，视为您同意新增的赢讯
AI
经营者与您共同履行本协议。发生争议时，您可根据您具体使用的服务及对您权益产生影响的具体行为对象确定与您履约的主体及争议相对方。
当您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，即表示您已充分阅读、理解并接受本协议的全部内容，并与赢讯数智公司达成一致，成为赢讯
AI
“用户”。
阅读本协议的过程中，如果您不同意本协议或其中任何条款约定，您应立即停止注册程序。
In order to provide you with better services, please
carefully read and fully understand this User Agreement (hereinafter referred to as "This Agreement")
and relevant special rules, including but not limited to "Privacy Policy", and comply with the relevant
provisions in the aforementioned documents. In particular, clauses relating to exemption or limitation
of liability, rights licensing and information use, application of law and dispute resolution, etc.
Among them, the exemption or limitation of liability clauses, application of law and dispute resolution
clauses and other important contents will be in bold to remind you, you should focus on reading. If you
have any questions about this agreement, please consult Winxun AI.
If you are under the age of 18, please carefully read
and fully understand this Agreement
accompanied by your legal guardian, and use the
software and related services after obtaining the consent of your legal guardian.
If you do not agree to this Agreement, you will not be
able to use the complete products and services of Winxun, and you may choose to stop using them. If you
agree to this Agreement, or use the Winxun Software and related Services, you shall be deemed to have
fully understood this Agreement and undertake to be bound by this Agreement as a party to this
Agreement. If you have any questions, comments or suggestions regarding this Agreement, you may contact
us by email at AI@winxun.com.
Winxun AI has the right to unilaterally determine,
arrange or appoint its affiliates, controlling companies, successor companies or third parties approved
by Winxun AI to continue to operate the Services according to the needs of the Services or operations.
In addition, certain services under this Agreement may be provided to you by Winxun AI's affiliates,
controlling companies, successor companies or third parties approved by Winxun AI. The Winxun operator
may also be added by providing new Winxun services. If you use the new Winxun service, you shall be
deemed to have agreed that the new Winxun operator will jointly perform this Agreement with you. In case
of a dispute, you may determine the subject of your performance and the other party in the dispute
according to the specific service you use and the specific behavior object that affects your rights and
interests.
When you fill in the information as prompted on the
registration page, read and agree to this Agreement and complete all the registration procedures, it
means that you have fully read, understand and accept all the contents of this Agreement, and reach an
agreement with Winxun AI to become a "user" of Winxun. During the course of reading this Agreement, if
you do not agree to this Agreement or any of its terms, you should immediately stop the registration
process.
一、
适用范围及定义
Scope and definition of application
1.
本协议是您与深圳市赢讯数智科技有限公司及其关联方（以下简称为
“
赢讯数智
”或“
赢讯数智公司
”或“
我们
”）之间关于您使用本服务所订立的协议。本协议相关定义如下：
This Agreement is an agreement
between you and Shenzhen Winxun Digital Intelligence Technology Co., LTD. and its affiliates
(hereinafter referred to as "Winxun AI" or "Winxun AI Company" or "we") regarding your use of the
Service. The relevant definitions of this Agreement are as follows:
（1）
“本服务”、“赢讯

”指由赢讯数智拥有并运营的、名称为“赢讯
AI
”的官方网站（
https://cloud.winxun.com/#/login
）、供第三方网站和应用程序使用赢讯
AI
相关应用程序编程接口（
API
）方式来访问和使用的赢讯
AI
软件及服务。
"Service" and "Winxun" refer to the
official website (https://cloud.winxun.com/#/login) owned and operated by Winxun AI and named Winxun,
and the Winxun software and services accessed and used by third-party websites and applications using
Winxun related application programming interfaces (APIS).
（2）
“用户”是指提交有效申请并注册后，使用本服务的自然人、法人或者其他组织，在本协议中称为“用户”或“您”。
"User" refers to the natural person, legal person or
other organization who uses the Service after submitting a valid application and registering, and is
referred to as "User" or "you" in this Agreement.
（3）
“分身经营者”指赢讯数智公司，以及不时向您提供本服务的赢讯数智公司的关联方、控制公司、继承公司或赢讯数智公司认可的第三方。
"Winxun Operator" means Winxun AI Company, as
well as Winxun AI's affiliates, controlling companies, successor companies or third parties approved by
Winxun AI Company that provide the Services to you from time to time.

本协议同时包括我们已经发布及后续可能不断发布的关于赢讯
AI
软件及相关服务的相关协议、规则等，包括但不限于《赢讯
AI
隐私政策》。前述内容一经正式发布，我们将以适当的方式提醒您及时阅读。前述相关协议、规则构成本协议不可分割的组成部分，您继续使用赢讯
AI
软件及服务视为您同意遵守前述相关协议、规则等内容。
This Agreement also includes
relevant agreements and rules regarding Winxun software and related services that we have issued and may
continue to issue in the future, including but not limited to Winxun Privacy Policy. Once the
aforementioned content is officially released, we will remind you to read it in time in an appropriate
manner. The aforesaid agreements and rules constitute an integral part of this Agreement. Your continued
use of the Winxun Software and services shall be deemed as your agreement to abide by the aforesaid
agreements and rules.
3.
需要特别说明的是，本服务可能整合于赢讯数智或赢讯数智以外的第三方提供的服务，您应该仔细识别实际服务提供方，并向其主张权利和责任。赢讯数智将依据法律法规要求其履行相应的义务和责任，除此之外，深圳市赢讯数智科技有限公司及其关联方将不会对第三方的行为承担其他义务或责任。
It should be noted that the Service
may be integrated into the services provided by Winxun AI or third parties other than Winxun AI. You
should carefully identify the actual service provider and claim rights and responsibilities against it.
Winxun AI will perform corresponding obligations and responsibilities as required by laws and
regulations. In addition, Shenzhen Winxun Digital Intelligence Technology Co., LTD. and its affiliates
will not assume other obligations or responsibilities for the acts of third parties.

Services of Winxun AI
1.
您使用本服务，可以通过赢讯
AI
官方网站（
https:// https://cloud.winxun.com/#/login
）、赢讯数智公司已授权的第三方入口等方式访问赢讯
AI
网页版及相关网站。若您并非通过上述两个方式获取本服务，赢讯数智公司无法保证非官方版的赢讯
AI
相关服务能够正常使用，您因此遭受的损失与赢讯数智公司无关。
When you use the service, you can
access the web version of Winxun and related websites through the official website of Winxun (https://
https://cloud.winxun.com/#/login), the third- party portal authorized by Winxun AI Company, etc. If you
do not obtain the service through the above two ways, Winxun AI Company cannot guarantee that the
non-official version of the related services can be used normally, and the loss you suffer from this has
nothing to do with Winxun AI Company.
2.
赢讯数智公司可能为不同的终端设备开发不同的应用程序软件版本，您应当根据实际情况进行获取、下载和使用合适的版本。
Winxun AI Company may develop
different application software versions for different terminal devices. You should obtain, download and
use the appropriate version according to the actual situation.
3.
为了更好地提升用户体验及服务，赢讯数智公司将不定期更新或改变本服务（包括但不限于软件修改、升级、功能强化、增加新服务、软件替换等）。本软件及相关服务更新或部分服务内容更新后，在可能的情况下，我们将以包括但不限于系统提示、公告等方式提醒您，您有权接受更新版本或服务，如您不接受，由于旧版本软件我们可能不再维护，有可能造成部分功能受到限制或不能继续使用，后果由用户承担。
In order to better improve user
experience and services, Winxun AI Company will update or change the Service from time to time
(including but not limited to software modification, upgrade, function enhancement, addition of new
services, software replacement, etc.). After the software and related services are updated or part of
the service content is updated, if possible, we will remind you by means including but not limited to
system prompts and announcements that you have the right to accept the updated version or service. If
you do not accept the updated version, we may no longer maintain the old version of the software, which
may cause some functions to be limited or unable to continue to use, and the consequences shall be borne
by the user.
4.
除非得到赢讯数智公司明示事先书面授权，您不得以任何形式对本服务进行包括但不限于改编、复制、传播、垂直搜索、镜像或交易等未经授权的访问或使用。
Unless expressly authorized by
Winxun AI in writing in advance, you are not allowed to use the Service in any ways, including but not
limited to adaptation, reproduction, dissemination, vertical search, mirroring or trading.
5.
您理解，您使用本服务需自行准备与本服务有关的终端设备（如电脑、手机等装置），一旦您在您终端设备中打开赢讯
AI
网页版或访问赢讯
AI
相关网站，即视为您使用本服务。为充分实现本服务的全部功能，您需要将您的终端设备联网，您理解您应自行承担所需要的费用（如流量费、上网费等）。
You understand that you need to
prepare your own terminal equipment (such as computer, mobile phone and other devices) related to the
Service to use the Service. Once you open the Winxun Web version or visit the Winxun related website in
your terminal device, you will be deemed to have used the Service. You understand that in order to fully
realize all functions of the Service, you need to connect your terminal devices to the Internet, and you
understand that you shall bear the necessary fees (such as data fees, Internet access fees,
etc.).
6.
赢讯数智公司许可您一项个人的、可撤销的、不可转让的、非独占的合法使用本服务的权利。本协议未明示授权的其他一切权利仍由赢讯数智公司保留，您在行使该些权利前须另行获得赢讯数智公司的书面许可，同时赢讯数智公司如未行使前述任何权利，并不构成对该权利的放弃。
Winxun AI Company grants you a
personal, revocable, non-transferable, non-exclusive legal right to use the Service. All other rights
not expressly authorized by this Agreement shall remain with Winxun AI, and you shall obtain the written
permission of Winxun AI before exercising such rights, and the failure of Winxun AI to exercise any such
rights shall not constitute a waiver of such rights.
7.
为使您更好地使用赢讯
AI
软件及相关服务，保障您的账号安全，某些功能要求您按照国家相关法律法规的规定，提供真实的手机号实名注册并登录后方可使用。
In order to enable you to better use
the Winxun software and related services and ensure the security of your account, some functions require
you to provide your real mobile phone number and real name to register and log in in accordance with
relevant national laws and regulations before using.
8.
赢讯
AI
向您提供包含录制视频、生成真人数智人模型、合成视频、剪辑、导出、分享、发布、下载视频等相关功能的技术服务，您应确保使用赢讯
AI
进行录制、创造、剪辑、发布的内容为您合法享有的著作权的内容或已取得相关权利人的许可，不侵犯任何第三方权利。您录制、剪辑并发布的内容，由您享有相关权益，也由您承担责任。我们仅仅提供技术服务，不向您授权任何权利，如因此产生纠纷或者发生其他法律责任，由您自行承担。
Winxun provides you with technical
services including video recording, generating real Meta Human model, video synthesis, editing,
exporting, sharing, publishing, downloading and other related functions. You should ensure that the
content recorded, created, edited and published by Winxun is the content that you legally enjoy or has
obtained the permission of the relevant right holder, and does not violate the rights of any third
party. For the content you record, edit and publish, you shall enjoy the relevant rights and interests
and bear the responsibility. We only provide technical services, do not authorize any rights to you, in
case of any disputes or other legal liabilities, you shall bear by yourself.
9.
您可以选择以购买所有权或按期限购买使用权的方式使用赢讯数智公司身事先制作的标准数智人模型在赢讯
AI
平台进行视频制作。您理解并知悉，由赢讯数智公司通过技术手段生成的数智人模型存在与物理世界自然人的肖像雷同的可能。如有雷同，实属巧合。如您在使用该等标准数智人模型及其衍生产品的过程中收到第三方的权利主张，应当在一个工作日内书面告知赢讯数智公司，并由赢讯数智公司视情况对该标准数智人模型进行修改或下架。赢讯数智公司不对由于您延迟通知而产生的损失承担责任。
You can choose to purchase ownership
or purchase the right to use the standard model
made by Winxun AI company in advance for video
production on the Winxun platform. You understand and acknowledge that the Meta Human model generated by
Winxun AI through technical means may be similar to the portrait of a natural person in the physical
world. If there is any resemblance, it is coincidence. If you receive any claim from any third party in
the process of using the standard Meta Human and its derivatives, you shall notify Winxun AI Company in
writing within one working day, and Winxun AI Company shall modify or remove the standard Meta Human
model according to the circumstances. Winxun AI shall not be liable for any loss arising from your delay
in notifying you.

官方网站内存在任何侵犯您权利的内容，您可按照赢讯
AI
网页版中提示的投诉途径通知赢讯数智公司，并提供您有相关权利的证据，赢讯数智公司将会依据相关法律规定及时处理您的投诉。
If you find any content that infringes your rights in
the Winxun website version or
the Winxun official website, you can notify Winxun
according to the complaint channel indicated in the Winxun website and provide evidence that you have
relevant rights. Winxun will deal with your complaint in a timely manner according to relevant laws and
regulations.
三、
账号问题
Account problems
1.
赢讯

为用户提供注册通道，手机号注册获取的密码、验证码、第三方平台登录设置的账号密码是用户用以登录并以注册身份使用赢讯
AI
软件及相关服务的凭证，请妥善保管您的设备、账号和密码，如有遗失、泄露等造成的损失由您承担。
Winxun
provides a registration channel for users. The password, verification code obtained by mobile phone
number registration, and the account password set by third- party platform login are the credentials
used by users to login and use Winxun software and related services as registered identities. Please
properly keep your device, account number and password, and bear the loss caused by loss or
disclosure.
2.
赢讯数智公司有权依据《中华人民共和国网络安全法》等相关法律法规规定，请您进行实名认证，包括但不限于请您提供面部特征等个人生物识别信息、身份证信息、手机号码等个人信息。您应当如实填写和提交账号注册与认证资料，完成信息登记，并对资料的真实性、合法性、准确性和有效性承担责任。赢讯数智公司将依据您填写的和提交的账号资料，在法律允许的范围内向其他用户展示您的注册信息。您理解并同意：
Winxun AI has the right to request you to perform real-name
authentication in accordance with the Network Security Law of the People's Republic of China and
other relevant laws and regulations, including but not limited to requesting you to provide personal
biometric information such as facial features, ID card information, mobile phone number and other
personal information. You shall truthfully fill in and submit the account registration and
authentication information, complete the information registration, and assume responsibility for the
authenticity, legality, accuracy and effectiveness of the information. Winxun AI Company will
display your registration information to other users within the scope permitted by law according to
the account information you fill in and submit. You understand and agree that:
（1）
您用以参与本服务的账号及其中发布内容由您独立维护、运营并独立承担全部责任。在您遵守法律法规及本协议的前提下，赢讯数智公司不会干涉、也不会参与您账号的运营等独立活动；
The account you use to participate in the Service and the content posted on it shall
be maintained, operated and solely responsible by you. On the premise that you abide by laws,
regulations and this Agreement, Winxun AI Company will not interfere with or participate in the
operation of your account and other independent activities;
（2）
赢讯数智公司自主研发并独立享有的本服务技术接口的知识产权等合法权益，您仅有权在本服务范围内进行使用；
You only have the right to use the intellectual property rights and other legitimate rights
and interests of the technical interface of the Service independently developed and enjoyed by
Winxun AI Company within the scope of the Service;
（3）
因您的原因导致的任何纠纷、责任等，以及您或您的赢讯
AI
账号或发布的内容违反相关法律法规或本协议约定引发的任何后果，均由您独立承担责任、赔偿损失，与赢讯数智无关。如侵害到赢讯数智公司或他人权益的，您须自行向赢讯数智公司或其他人承担全部责任和赔偿一切损失。
You shall be solely liable for and compensate for any disputes or liabilities caused
by your reasons, as well as any consequences caused by your or your Winxun account or the content
posted in violation of relevant laws and regulations or provisions hereof, and have nothing to do
with Winxun AI. In case of any infringement on the rights and interests of Winxun AI Company or
others, you shall bear full responsibility and compensate for all losses to Winxun AI Company or
others.
3.
账号注销
Cancellation of account
在需要终止使用赢讯
AI
服务时，符合以下条件的，您可以自行注销或向我们申请注销您的赢讯
AI
账号：
When you need to terminate your use of the Winxun
service, you can cancel your account by yourself or apply to us for cancellation of your Winxun account
if the following conditions are met:
（1）
您仅能申请注销您本人的账号，并依照赢讯
AI
的流程进行注销，我们有权对申请人的个人身份、安全状态等进行验证；
You can only apply for the cancellation of your own
account and cancel it in accordance with the procedures of the Winxun. We have the right to verify the
applicant's personal identity and security status;
（2）
您仍应对您在注销账号前且使用赢讯
AI
服务期间的行为承担相应责任；
You shall still be responsible for your behavior before
canceling your account
and during the period of using the Winxun
service;
（3）
您清楚并理解，注销账号是个不可逆的行为，一旦注销成功，账号记录、功能等将无法恢复或提供；
You know and understand that account cancellation is an
irreversible act. Once the account cancellation is successful, the account records and functions will
not be restored or provided;
（4）
您使用账号有任何违法违规行为，我们有权根据情节轻重给与警告、暂时封号或永久封号、注销账号等处分，由此产生的一切后果由您承担。
If you use your account for any illegal behavior, we
have the right to give you a warning, temporary or permanent ban, cancel your account and other
punishments according to the seriousness of the case, and all the consequences arising therefrom shall
be borne by you.
4.
您理解并承诺，您所设置的账号信息不得违反国家法律法规及我们的相关规则，您的账号名称、头像和简介等注册信息及其他个人信息中不得出现违法和不良信息，未经他人许可不得用他人名义（包括但不限于冒用他人姓名、名称、字号、头像等足以让人引起混淆的方式）开设账号，不得恶意注册赢讯
AI
账号（包括但不限于频繁注册、批量注册账号等行为）。您在账号注册及使用过程中需遵守相关法律法规，不得实施任何侵害国家利益、损害其他公民合法权益，有害社会道德风尚的行为。我们有权对您提交的注册信息进行审核。
You understand and promise that the
account information you set shall not violate national laws and regulations and our relevant rules, and
there shall be no illegal or bad information in your account name, profile picture, profile and other
registration information and other personal information. Without the permission of others, you shall not
open an account in the name of others (including but not limited to falsely using other people's names,
names, business name, profile pictures and other ways that can cause confusion), and you shall not
maliciously register a Winxun account (including but not limited to frequent registration and batch
registration of accounts). In the process of account registration and use, you shall abide by relevant
laws and regulations, and shall not commit any behavior that infringes upon national interests, damages
the legitimate rights and interests of other citizens, or is harmful to social morality. We have the
right to review the registration information you submit.
5.
您在赢讯
AI
中的注册账号仅限于您本人使用，未经我们事先书面同意，禁止以任何形式赠与、借用、出租、转让、售卖或以其他方式许可他人使用该账号。如果我们发现或者有合理理由认为使用者并非账号初始注册人，为保障账号安全，我们有权立即暂停或终止向该注册账号提供服务，或注销该账号。
Your registered account in the
Winxun is for your own use only. Without our prior written consent, it is prohibited to give, borrow,
rent, transfer, sell or otherwise permit others to use the account in any form. If we find or have
reasonable reasons to believe that the user is not the original registrant of the account, we have the
right to immediately suspend or terminate the service provided to the registered account, or cancel the
account, in order to ensure the security of the account.
6.
您有责任维护个人账号信息的安全性与保密性，并对您以该账号名义所从事的活动承担全部法律责任，包括但不限于您在本服务上进行的任何数据修改、言论发表、款项支付等操作行为可能引起的一切法律责任。您应高度重视对账号信息的保密，在任何情况下不向他人透露账号信息。若发现他人未经许可使用您的账号或发生其他任何安全漏洞问题时，您应当立即通知赢讯数智公司。
You are responsible for maintaining
the security and confidentiality of your personal account information, and bear all legal liabilities
for the activities you engage in in the name of your account, including but not limited to all legal
liabilities that may be caused by any data modification, speech publication, payment and other
operations you make on the Service. You should attach great importance to the confidentiality of your
account information and do not disclose your account information to others under any circumstances. If
you find that others use your account without permission or any other security breaches, you should
immediately notify Winxun AI Company.
7.
您的账号在丢失或遗忘密码后，可联系客服协助您找回账号或密码。您理解并认可，我们的密码找回机制需要本人提供相关的资料进行核实，如果无法提供相关资料来证明账号的归属权您将无法找回账号或密码。因您保管不当等自身原因或其他不可抗因素可能导致遭受盗号或密码丢失，责任由您自行承担。您理解并同意，在您未进行投诉或提出账号申诉等方式明确告知赢讯数智账号被他人使用或信息数据泄漏等情况并提供相关证明材料前，赢讯数智有理由相信该账号行为是您使用账号的行为。
If you lose or forget your account
password, you can contact customer service to help you retrieve your account or password. You understand
and acknowledge that our password recovery mechanism requires you to provide relevant information for
verification. If you cannot provide relevant information to prove the ownership of your account, you
will not be able to retrieve your account or password. Your account may be stolen or your password may
be lost due to improper storage or other force majeure factors, and you shall bear the responsibility by
yourself. You understand and agree that until you explicitly inform Winxun AI that your account is used
by others or that information and data are leaked and provide relevant supporting materials by way of
complaint or account appeal, Winxun AI has reason to believe that your account is used by
you.
四、
用户个人信息保护
Protection of users' personal
information
1.
保护用户个人信息是赢讯数智的一项基本原则，赢讯数智将会采取合理的措施保护用户的个人信息。除法律法规规定的情形外，未经用户许可赢讯数智不会向第三方公开、透露用户个人信息。并且赢讯数智对相关信息采用专业加密存储与传输方式，保障用户个人信息的安全。
Protecting
users' personal information is a basic principle of Winxun AI, and Winxun AI will take reasonable
measures to protect users' personal information. Except for the circumstances stipulated by laws and
regulations, Winxun AI will not disclose or reveal users' personal information to any third party
without users' permission. In addition, Winxun AI uses professional encryption to store and transmit
relevant information to ensure the security of users' personal information.
2.
在使用赢讯
AI
软件及相关服务的过程中，您可能需要提供您的个人信息（包括但不限于您的姓名、电话号码、位置信息、设备信息等），以便我们向您提供更好的服务和相应的技术支持。根据相关法律法规和政策，请您填写真实的身份信息。若您填写的信息不完整或不准确，则可能无法使用本服务或在使用过程中受到限制。
In the process of using the software
and related services, you may need to provide your personal information (including but not limited to
your name, phone number, location information, device information, etc.), so that we can provide you
with better services and corresponding technical support. In accordance with relevant laws, regulations
and policies, you are requested to fill in your true identity information. If the information you fill
in is incomplete or inaccurate, you may not be able to use the Service or be restricted in the process
of using it.
3.

Unless permitted by law or with the written permission of Winxun AI Company, you shall not do the
following when using the Winxun software and related services:

软件及相关服务的正常运行进行干扰、破坏、修改或者施加其他影响。
Use any unauthorized plug-in,
plugins, system or third party tool to interfere with, destroy, modify or otherwise affect the normal
operation of the Winxun software and related services.
1.2
用户使用本服务进行任何行为，包括但不限于注册登录、账号运营推广以及使用账号所进行的行为，您不得利用赢讯
AI
账号进行包括但不限于如下行为：
If a user uses the service to conduct any behavior,
including but not limited to registration and login, account operation and promotion, and the behavior
of using the account, you shall not use the Winxun account to conduct any behavior, including but not
limited to the following,
(1)
提交、发布虚假信息；
submit and publish false information;
(2)
强制、诱导其他用户关注账号、点击页面链接或分享信息的；
forcing or inducing other users to follow the account,
click page links or share
information;
(3)
虚构事实、隐瞒真相以误导、欺骗他人的；
fabricating facts or concealing the truth in order to
mislead or deceive others;
(4)
侵害他人名誉权、肖像权、姓名权、声音权等人格权益，或侵害他人知识产权、商业秘密、个人信息、隐私等合法权利的内容；
infringing upon others' rights of reputation, portrait,
name, voice and other personal rights, or infringing upon others' intellectual property rights, trade
secrets, personal information, privacy and other legal rights;
(5)
填写和提交账号注册与认证资料违反本协议规定，或运营行为与注册信息所公示身份无关的；
filling in and submitting account registration and
authentication materials violates the provisions of this Agreement, or the operation behavior has
nothing to do with the identity disclosed in the registration information;
(6)
未能按照赢讯

规定的业务流程注册和使用本服务，违反本服务功能限制或运营策略，或采取任何措施规避前述流程、限制或策略；
fail to register and use the Service in accordance with
the business procedures stipulated by the Winxun, violate the function restrictions or operation
policies of the Service, or take any measures to evade the aforementioned procedures, restrictions or
policies;
(7)
未经赢讯数智书面许可利用赢讯
AI
软件及服务进行推广或互相推广的；
without the written permission of Winxun AI, use the
software and services of Winxun AI
to promote or promote each other;
(8)
利用赢讯
AI
账号服务从事包括但不限于欺诈、传销、违法物品营销等任何违法犯罪活动的；
engaging in any illegal and criminal activities
including but not limited to fraud, pyramid selling, marketing of illegal goods and so on by using the
Winxun account service;
(9)
制作、发布与以上行为相关的方法、工具，或对此类方法、工具进行运营或传播，无论这些行为是否为商业目的；

or disseminating such methods and tools, regardless of
whether these behaviors are for commercial purposes;
(10)
仿冒、混淆他人账号昵称、头像、功能介绍或发布内容等，或冒充、利用他人名义的；
counterfeiting or confusing other people's account
nicknames, avatars, function introductions or publishing content, or impersonating or using other
people's names;
(11)
未经赢讯数智书面许可，与第三方达成任何形式的协议、承诺或确认，在赢讯
AI
账号发布任何对本服务所提供的任何功能进行排他、排斥、排除、妨碍、阻碍、强制选择等非善意竞争的内容；
without the written permission of Winxun AI, enter into
any form of agreement, commitment or confirmation with a third party, and publish any content that
excludes, hinders, obstructs, forces selection or other non-bona fide competition for any function
provided by the service on the Winxun account;
(12)
任何导致或可能导致赢讯数智与第三方产生纠纷、争议或诉讼的行为。

利用或针对赢讯

软件及相关服务进行任何危害计算机网络安全的行为，包括但不限于：

非法侵入他人网络、干扰他人网络正常功能、窃取网络数据等危害网络安全的活动；

提供专门用于从事侵入网络、干扰网络正常功能及防护措施、窃取网络数据等危害网络安全活动的程序、工具；

(3)
明知他人从事危害网络安全的活动的，为其提供技术支持、广告推广、支付结算等帮助

endanger network security.
(4)
未经赢讯数智书面许可，自行或授权、允许、协助任何第三人对信息内容进行非法获取，用于包括但不限于宣传、增加阅读量、浏览量等商业用途的。
“非法获取”是指采用包括但不限于“蜘蛛”
(spider)
程序、爬虫程序、拟人程序等非真实用户或避开、破坏技术措施等非正常浏览的手段、方式，读取、复制、转存、获得数据和信息内容的行为；
without the written permission of Winxun AI, provide or
authorize, allow or assist any third party to illegally obtain information content for commercial
purposes including but not limited to publicity, increasing reading volume and page views. "Illegal
acquisition" refers to the use of including but not limited to spider program, python program,
anthropomorphic program and other non-real users or avoid, destroy technical measures
and other abnormal browsing means, way, read, copy,
transfer, access to data and information content;
(5)
使用未经许可的数据或进入未经许可的服务器

系统或网络的弱点或其它实施破坏网络安全的行为；

probe, scan, test the weakness of the Winxun system or network or other conduct to destroy network
security;
(8)
企图干涉、破坏赢讯
AI
系统或网站的正常运行，故意传播恶意程序或病毒以及其他破坏干扰正常网络信息服务的行为；
attempting to interfere with or destroy the normal
operation of the Winxun system or website, intentionally spreading malicious programs or viruses, or
other acts that damage and interfere with normal network information services;
(9)
伪造

、技术接口、本服务数据或业务用户本协议以外目的；
without the permission of Winxun AI, use the Winxun,
technical interface, service
data or business users for purposes other than this
Agreement;
(12)
擅自编辑、整理、编排赢讯
AI
软件及相关服务的信息内容后在赢讯
AI
软件及相关服务的源页面以外的渠道进行展示。
edit, sort out and arrange the information content of
the Winxun software and related services without authorization and display it in channels other than the
source page of the Winxun software and related services.
2．
信息内容规范

用户承诺并保证遵守《中华人民共和国著作权法》、《中华人民共和国商标法》、《中华人民共和国反不正当竞争法》、《中华人民共和国民法典》、《中华人民共和国广告法》、《中华人民共和国计算机信息系统安全保护条例》、《计算机软件保护条例》及《信息网络传播权保护条例》等有关法律、法规、规章的规定。在任何情况下，我们合理的认为用户有可能违反上述法律、法规、规章的规定，有权不经事先通知终止向该用户提供服务。
The user undertakes and guarantees to abide by the Copyright Law of the
People's Republic of China, the Trademark Law of the People's Republic of China, the Anti- Unfair
Competition Law of the People's Republic of China, the Civil Code of the People's Republic of China,

Protection and the Regulation on the Protection of the Right of Communication to the Public on
Information Networks and other relevant laws, regulations and rules. In any case where we reasonably
believe that the user may violate the provisions of the above laws, regulations and rules, we have
the right to terminate the service provided to the user without prior notice.

terrorizing or threatening others with violence or conducting human flesh

）涉及他人隐私、个人信息或资料的；
involving the privacy, personal information or data of others;

）散布污言秽语，损害社会公序良俗的；
spreading foul language and damaging public order and good customs;
（

）侵犯他人隐私权、名誉权、肖像权、知识产权等合法权益内容的；
infringing upon others' rights to privacy, reputation, portrait, intellectual property and
other legitimate rights and interests;

）散布商业广告，或类似的商业招揽信息、过度营销信息及垃圾信息；
disseminating commercial advertisements, or similar commercial solicitation information,
excessive marketing information and junk information;

18
）使用本网站常用语言文字以外的其他语言文字评论的；
comments in a language other than the common language of this website;
（
19
）与所评论的信息毫无关系的；
comments that have nothing to do with the information being commented;
（
20
）所发表的信息毫无意义的，或刻意使用字符组合以逃避技术审核的；
the information posted is meaningless, or deliberately uses a combination of characters to
avoid technical review;

）侵害未成年人合法权益或者损害未成年人身心健康的；
infringing upon the legitimate rights and interests of youths or damaging their physical

infringing upon the legal rights of others by secretly photographing or recording others
without their permission;

）包含恐怖、暴力血腥、高危险性、危害表演者自身或他人身心健康内容的，包括但不限于以下情形：

mental health of the performer or others, including but not limited to the following
circumstances:
a)
任何暴力和

或自残行为内容；
Any acts of violence and/or self-harm;
b)
任何威胁生命健康、利用刀具等危险器械表演的危及自身或他人人身及

或财产权利的内容；
Any content that threatens life and health, or that endangers the personal and/or property
rights of oneself or others by performing with dangerous instruments such as knives;
c)
怂恿、诱导他人参与可能会造成人身伤害或导致死亡的危险或违法活动的内容。
Any content that encourages or induces others to participate in dangerous or illegal
activities that may cause personal injury or death.

其他违反法律法规、政策及公序良俗、干扰赢讯

正常运营或侵犯其他用户或第三方合法权益内容的其他信息。
Other information that violates laws, regulations, policies, public order and good customs,
interferes with the normal operation of Winxun, or infringes upon the legitimate rights and
interests of other users or third parties.
2.3
您不得利用本服务制作、复制、发布、传播虚假新闻信息。转载基于本服务制作发布的新闻信息的，应当依法转载互联网新闻信息稿源单位发布的新闻信息。
You are not allowed to use the Service to produce, copy, publish or
spread false news and information. If you reprint the news information produced and released based
on the service, you shall reprint the news information issued by the Internet news information
source unit according to law.
六、
账号管理

账号的所有权归赢讯数智所有，您完成申请注册手续后，获得赢讯

账号的使用权，该使用权仅属于初始申请注册主体。账号使用权禁止赠与、借用、租用、转让或售卖等行为。

account only belongs to the initial applicant. The right to use the account is prohibited from
giving, borrowing, renting, transferring or selling.

账号密码由您自行设定。赢讯数智特别提醒您应妥善保管您的账号和密码。赢讯数智与您共同负有维护账号安全的责任。赢讯数智将通过不断提升技术措施，努力保护您的账号在服务端的安全。同时您也需要采取特定的措施，保障您的账号安全，包括但不限于妥善保管赢讯
AI
账号与密码、定期更新密码等措施。

reminds you to keep your account number and password properly. Winxun AI and you are jointly
responsible for maintaining the security of your account. Winxun AI will continue to improve
technical measures to protect the security of your account on the server. At the same time, you also
need to take specific measures to ensure the security of your account, including but not limited to
properly keeping your account and password, regularly updating your password and other
measures.
3.
在您怀疑他人在盗取您的账号或密码时，您需要立即通过站内公开的联系渠道通知赢讯数智。您不得使用其他主体注册的账号进行登录以及任何操作，如果赢讯数智发现您在使用其他主体注册的账号进行登录操作，赢讯数智有权在未经过通知的情况下终止您使用该账号。
If you suspect that others are stealing your account or password, you
should immediately notify Winxun AI through the open contact channels on the site. You are not
allowed to use the account registered by another subject for login or any operation. If Winxun AI
finds that you use the account registered by another subject for login operation, Winxun AI has the
right to terminate your use of the account without notice.
4.
您理解并同意，为保护您及其他用户的数据安全，防止用户信息泄露、损毁、篡改或者丢失，赢讯数智有权对您提交的信息介入审查，包括但不限于技术水平审查、安全水平审查、主体资质审查等，并根据审查结果向您提出防入侵、防病毒等措施建议。若您的信息系统仍无法符合保护用户数据安全的要求，赢讯数智有权拒绝或终止提供本服务。
You understand and agree that in order to protect the data security of
you and other users and prevent the disclosure, damage, tampering or loss of user information,

If your Winxun account is stolen, your password is forgotten or you
cannot log in normally due to other reasons, you can contact us through the public channels on the
site to appeal. However, Winxun AI does not promise to recover your account for you.

如您违反相关法律法规、本协议以及专项规则的规定，赢讯数智有权进行独立判断并随时限制、冻结或终止您对赢讯

账号的使用，且根据实际情况决定是否恢复使用。由此给您带来的损失（包括但不限于通信中断，用户资料及相关数据清空等），由您自行承担。
If you violate relevant laws and regulations, this Agreement and special
rules, Winxun AI has the right to make independent judgment and restrict, freeze or terminate your
use of the account at any time, and decide whether to resume the use according to the actual
situation. You shall be liable for any loss caused thereby (including but not limited to
interruption of communication, emptying of user information and related data, etc.
7.
因您对赢讯
AI
提供的素材违法、违规或违约修改、使用等所导致您自身的损失由您自行承担；给赢讯
AI
或第三方造成的损害和损失，由您全部赔偿，包括但不限于直接损失、间接损失、商誉损害、律师费用、法律开支等一切维护权益的费用。赢讯
AI
无须对您和第三方承担任何责任，并且，有权在不予通知的情况下关停您的赢讯
AI
账号，且不予退回您已付任何费用（如有）。
You shall be solely responsible for your own losses caused by your
illegal, illegal or breach of contract modification or use of the materials provided by the Winxun;
You shall fully compensate for any damage or loss caused to Winxun or any third party, including but
not limited to direct loss, indirect loss, goodwill damage, lawyer's fees, legal expenses and other

Under no circumstances shall we
assume any liability for any Content, including but not limited to any direct or indirect loss arising
out of any Content. Users shall be solely responsible for all legal consequences arising therefrom, and
Winxun and us shall have the right to recover from users for any losses suffered thereby. All reasonable
expenses (including but not limited to attorney's fees, travel expenses, notary fees, legal costs, etc.)
incurred by us due to rights protection shall be borne by users. We will save the legal content uploaded
by users as far as possible, but we do not promise to save the content uploaded by users. Users should
make backups of the aforementioned content by themselves.
八、
违约处理
Default
1.
针对您违反本协议或者其他服务条款行为，赢讯数智公司有权对您独立判断并根据具体情况采取预先警示，必要的时候对您正在使用的功能进行限制部分功能或者全部功能，严重时永久关停账号等措施。对涉嫌违反法律法规、涉嫌违法犯罪的行为，赢讯数智公司有权将相关记录保存，并依法向有关主管部门报告、并配合有关主管部门调查。
In case of your violation of this
Agreement or other terms of service, Winxun AI Company has the right to make an independent judgment on
you and give you a warning according to the specific situation, limit part or all of the functions you
are using when necessary, and permanently close the account in serious case. Winxun AI Company shall
have the right to keep relevant records, report to relevant competent authorities and cooperate with
relevant competent authorities for investigation of any act that is suspected of violating laws and
regulations or crimes.
2.
因您违反本协议或其他服务条款规定，引起第三方投诉或诉讼索赔的，您应当自行承担全部法律责任。因您的违法或违约行为导致赢讯数智公司及其关联方向任何第三方赔偿或遭受国家机关处罚的，您还应足额赔偿赢讯数智公司及其关联方因此遭受的全部损失。
If you violate the provisions of
this Agreement or other terms of Service and cause any
complaint or lawsuit claim from any third party, you
shall bear all legal liabilities by yourself. If Winxun AI Company and its affiliates compensate any
third party or are punished by state authorities due to your violation or breach of contract, you shall
also compensate Winxun AI Company and its affiliates in full for all losses incurred
thereby.

赢讯数智公司尊重并保护用户及他人的知识产权、名誉权、姓名权、隐私权等合法权益。您保证，在使用本服务时上传包括但不限于文字、图片、视频、音频、动效等素材内容，不侵犯任何第三方的知识产权、名誉权、姓名权、隐私权等合法权益。否则，我们有权在收到权利方或者相关通知情况下，不经过您的同意，将涉嫌侵权的内容进行修改或下架。针对第三方提出的全部权利主张，您应自行处理并承担可能因此产生的全部法律责任；如因您的侵权行为导致赢讯数智公司及其关联方受损失的，您还应足额赔偿赢讯数智公司及其关联公司的全部损失。

as soon as possible, but users agree that we shall not be liable for any loss caused to users due to

but we do not guarantee that our judgments are completely consistent with the judgments of judicial and

您理解并知悉，由我们通过技术手段生成的无建模对象数智人模型存在与物理世界自然人的肖像雷同的可能。如有雷同，实属巧合。如您在使用该等标准数智人模型及其衍生产品的过程中收到第三方的权利主张，应当在一个工作日内书面告知我们，并由我们视情况对该标准数智人模型进行修改或下架。我们不对由于您延迟通知而产生的损失承担责任。
You understandand acknowledge that the Meta Human model without modeling
object number generated by us through technical means may be similar to the portrait of a natural
person in the physical world. Any resemblance would be coincidences. If you receive any claim from
any third party in the process of using the standard Meta Human Model and its derivatives, you
should inform us in writing within one working day, and we will modify or remove the standard Meta
Human model according to the circumstances. We shall not be liable for any loss arising from your
delay in notifying us.

If you are a youth under the age of
18, you should read this Agreement under the supervision and guidance of your parents or other guardians
before using the services related to Winxun software, and only after reading and agreeing to this
Agreement can you use the services. If you do not obtain the consent of your guardian, your guardian may
notify us to deal with the relevant account through the publicity channel of the Winxun, and we have the
right to restrict the functions and use of the relevant account, including but not limited to login,

本协议的成立、生效、履行、解释及争议的解决均适用于中华人民共和国法律。用户因使用赢讯

软件及相关服务而产生或与之相关的一切争议，权利主张或其他事项，均适用中华人民共和国法律。倘若本协议的任何规定与中华人民共和国大陆地区的法律抵触而无效，这些条款将尽可能接近本协议原条文意旨重新解释，且本协议其它规定仍应具有完整的效力及效果。
The establishment, effectiveness, performance, interpretation and
dispute resolution of this Agreement shall be governed by the laws of the People's Republic of
China. All disputes, claims or other matters arising out of or in connection with the use of Winxun
Software and related services shall be governed by the laws of the People's Republic of China. If
any provision of this Agreement is invalid in conflict with the laws of the People's Republic of
China, such provision shall be reinterpreted as close as possible to the original provisions of this
Agreement, and the other provisions of this Agreement shall remain in full force and
effect.

window, message notification, official account notification, or your reserved contact information (such
as SMS, E-mail, etc.). The notification shall be deemed to have been successfully delivered to you when
the Winxun is sent. If multiple notification methods coexist, the delivery time shall be the earliest
